Acquires Point Solutions Group
Yesterday morning, DHI Group (DHX) announced that the company has acquired Point Solutions Group, a staffing services provider catering to the aerospace and defense, cybersecurity and other government services verticals. Strategically, the acquisition expands the scope of services available to existing and potential ClearanceJobs customers. Moreover, Point Solutions Group has obtained a “Top Secret” facility clearance, enabling DHI Group to pursue high valued, high margin government staffing assignments not generally accessible to the typical staffing agency. Financially, the purchase price includes $5.0 million in cash and potential earn-outs totaling $0.5 million. We note that the potential earn-out payments are evenly split with the first portion due upon the achievement of over $8.0 million in revenue during 2026 and the remainder due if revenue exceeds $8.5 million this year. We believe the target revenue levels corresponding to the earn-outs imply growth rates for Point Solutions Group of approximately 15%-20% and assume the acquired entity generates adjusted EBITDA margins commensurate with other IT staffing vendors in the 10%-15% range. That said, we plan to await more formal guidance from the company prior to updating our model. In the interim, our price target remains unchanged at $4.50 based on a FY ’26 EV/Sales multiple of 2x.
